ข้อกำหนดและเงื่อนไขการใช้งาน (Terms of Use)

ข้อกำหนดและเงื่อนไขการใช้งานฉบับนี้ (“ข้อกำหนด”) จัดทำขึ้นโดย บริษัท เอไอทีเอส จำกัด ซึ่งจดทะเบียนและมีสำนักงานใหญ่ตั้งอยู่เลขที่ 99 หมู่ 1 นิคมอุตสาหกรรมไฮเทค ตำบลบ้านเลน อำเภอบางปะอิน จังหวัดพระนครศรีอยุธยา 13160 (ต่อไปนี้เรียกว่า “บริษัท”) เพื่อกำหนดสิทธิ หน้าที่ และความรับผิดชอบระหว่างบริษัทกับผู้ใช้งาน ในการใช้งานระบบหรือแอปพลิเคชันแผนที่ของบริษัท ภายใต้ชื่อ “POWERMAP” (ต่อไปนี้เรียกว่า “บริการ”) ไม่ว่าจะเข้าใช้งานผ่านเว็บไซต์ แอปพลิเคชันบนอุปกรณ์เคลื่อนที่ หรือช่องทางอื่นใดที่บริษัทจัดให้

These Terms of Use (the “Terms”) are issued by AAPICO ITS Co., Ltd., a juristic person registered and having its head office at 99 Moo 1 Hitech Industrial Estate, Ban Lane, Bang Pa-in, Ayutthaya 13160 (hereinafter referred to as the “Company”), to set out the rights, duties, and responsibilities between the Company and users of the map system or application of the Company known as “POWERMAP” (hereinafter referred to as the “Service”), whether accessed through a website, a mobile application, or any other channel made available by the Company.

การเข้าถึง ดาวน์โหลด ติดตั้ง หรือใช้งานบริการไม่ว่าส่วนหนึ่งส่วนใด ถือว่าผู้ใช้งาน (“ผู้ใช้” หรือ “ท่าน”) ได้อ่าน เข้าใจ และตกลงยอมรับที่จะปฏิบัติตามข้อกำหนดฉบับนี้ รวมถึงนโยบายความเป็นส่วนตัวและเอกสารอื่นใดที่บริษัทอ้างอิงไว้ในที่นี้ทุกประการ หากท่านไม่ยอมรับข้อกำหนดฉบับนี้ไม่ว่าทั้งหมดหรือบางส่วน ขอให้ท่านยุติการใช้งานบริการโดยทันที

By accessing, downloading, installing, or using the Service, in whole or in part, the user (the “User” or “you”) is deemed to have read, understood, and agreed to comply with these Terms, including the Privacy Policy and any other document referenced herein. If you do not accept these Terms, in whole or in part, please discontinue using the Service immediately.

บริษัทจัดทำบริการขึ้นโดยมีวัตถุประสงค์เพื่อให้ผู้ใช้สามารถใช้บริการในการค้นหาสถานที่ ดูแผนที่ วางแผนเส้นทาง และใช้ฟังก์ชันที่เกี่ยวข้องกับข้อมูลภูมิสารสนเทศ เพื่อประโยชน์ส่วนบุคคลของผู้ใช้ หรือเพื่อวัตถุประสงค์เชิงพาณิชย์ตามขอบเขตที่ได้รับอนุญาต ทั้งนี้ ภายใต้เงื่อนไขที่ระบุไว้ในข้อกำหนดฉบับนี้และตามที่กฎหมายกำหนด และบริษัทสงวนสิทธิ์ในการเพิ่ม ลด ปรับปรุง หรือระงับฟังก์ชันใด ๆ ของบริการไม่ว่าทั้งหมดหรือบางส่วน โดยไม่ต้องแจ้งให้ผู้ใช้ทราบล่วงหน้า

The Service is made available by the Company and is intended to allow Users to search for places, view maps, plan routes, and use functions related to geographic information for the User’s personal benefit, or for permitted commercial purposes as authorized, provided that the usage shall be subject to the provision hereunder and the applicable laws. The Company reserves the right to add, remove, modify, or suspend any function of the Service, in whole or in part, without prior notice to Users.

3. การสมัครใช้งานและบัญชีผู้ใช้ (Registration and User Accounts)

เพื่อวัตถุประสงค์ในการใช้บริการ บริษัทอาจจำเป็นต้องให้ผู้ใช้ลงทะเบียนหรือผูกบัญชีผู้ใช้เข้ากับอยู่อีเมลของผู้ใช้ และจัดส่งข้อมูลอื่น ๆ ที่เกี่ยวข้องตามที่บริษัทกำหนด (ถ้ามี) เพื่อใช้ในการสมัครใช้งาน การยืนยันตัวตน การรักษาความปลอดภัยของบัญชีผู้ใช้ และการติดต่อเกี่ยวกับการให้บริการ ในการนี้:

For the purpose of using the Service, the Company may require the User to register or link the User’s account to the User’s email address and, provide any relevant information as designated by the Company (if any), for registration, authentication, account security, and communication relating to the Service. For such purposes:

4. ทรัพย์สินทางปัญญา (Intellectual Property)

ผู้ใช้มีสิทธิใช้งานบริการอย่างจำกัด เฉพาะเพื่อการใช้งานส่วนบุคคลและไม่ใช่เพื่อวัตถุประสงค์ในเชิงพาณิชย์ เว้นแต่ผู้ใช้จะได้ลงทะเบียนสมัครใช้งานบริการสำหรับนักพัฒนาหรือองค์กรธุรกิจในแพ็กเกจที่มีการชำระค่าบริการ หรือแพ็กเกจที่ระบุชัดแจ้งว่าอนุญาตให้ใช้งานในเชิงพาณิชย์ได้ ซึ่งผู้ใช้จะได้รับสิทธิให้สามารถใช้งานในเชิงพาณิชย์ได้ภายใต้ขอบเขตและข้อจำกัดของแพ็กเกจนั้นๆ ทั้งนี้ แพ็กเกจที่ไม่มีค่าใช้จ่าย จะอนุญาตให้ใช้สำหรับการทดสอบระบบหรือการใช้งานส่วนบุคคลเท่านั้น ไม่อนุญาตให้นำไปใช้งานในเชิงพาณิชย์ในทุกกรณี หรือเว้นแต่จะได้รับความยินยอมล่วงหน้าเป็นหนังสือจากบริษัท

The User is granted a limited right to use the Service solely for personal, non-commercial purposes, unless the User has subscribed to the Service as an API/SDK developer or business entity under a paid subscription plan (Paid Plan) or a plan that explicitly permits commercial use. In such cases, the User is granted the right to use the Service for commercial purposes strictly within the scope and limitations of their subscribed plan. Usage under a free tier (Free Plan) is strictly restricted to testing, evaluation, or personal use only, and any commercial use is expressly prohibited in all circumstances, unless otherwise authorized in advance in writing by the Company.

สิทธิ กรรมสิทธิ์ และผลประโยชน์ทั้งปวง รวมถึงสิทธิในทรัพย์สินทางปัญญาที่เกี่ยวข้องกับบริการเป็นของบริษัทแต่เพียงผู้เดียว ผู้ใช้จะต้องไม่เปิดเผย เผยแพร่ แจกจ่าย ให้สิทธิ เข้าถึง ทำซ้ำ คัดลอก โอน ให้เช่า ให้สิทธิช่วง หรือดำเนินการอื่นใด เพื่อให้บุคคลภายนอกสามารถใช้งานหรือได้รับประโยชน์จากบริการไม่ว่าทั้งหมดหรือบางส่วน เนื้อหาทั้งหมดที่ปรากฏในบริการ ไม่ว่าจะเป็นซอฟต์แวร์ ข้อมูลแผนที่ ฐานข้อมูล การออกแบบ เครื่องหมายการค้า โลโก้ และทรัพย์สินทางปัญญาอื่นใด เป็นกรรมสิทธิ์ของบริษัทหรือผู้อนุญาตให้ใช้สิทธิ ของบริษัท และได้รับความคุ้มครองตามกฎหมายทรัพย์สินทางปัญญาที่เกี่ยวข้อง ห้ามมิให้ผู้ใช้ทำซ้ำ ดัดแปลง เผยแพร่ แจกจ่าย ทำวิศวกรรมย้อนกลับ หรือแสวงหาประโยชน์ในเชิงพาณิชย์จากเนื้อหาดังกล่าว โดยไม่ได้รับความยินยอมล่วงหน้าเป็นลายลักษณ์อักษรจากบริษัท

All rights, title, and interest, including all related intellectual property rights in connection with the Service, shall belong exclusively to the Company. The User shall not disclose, publish, distribute, grant access to, reproduce, copy, transfer, rent, sublicense, or otherwise enable any third party to use or benefit from the Service, in whole or in part. All content appearing in the Service, whether software, map data, database, design, trademarks, logos, and any other intellectual property, is the property of the Company or its licensors, and is protected under applicable intellectual property laws. The User is prohibited from reproducing, modifying, publishing, distributing, reverse engineering, or commercially exploiting such content without prior written consent of the Company.

5. ข้อมูลความเป็นส่วนตัวและตำแหน่งที่ตั้ง (Data Privacy and Location)

บริษัทเก็บรวบรวม ใช้ และเปิดเผยข้อมูลส่วนบุคคลของผู้ใช้ตามพระราชบัญญัติคุ้มครองข้อมูลส่วนบุคคล พ.ศ. 2562 และตามนโยบายคุ้มครองข้อมูลส่วนบุคคลของบริษัท อาปิโก ไฮเทค จำกัด (มหาชน) (“นโยบายความเป็นส่วนตัว”) ซึ่งเป็นนโยบายที่ใช้บังคับภายในกลุ่มบริษัทอาปิโก โดยผู้ใช้สามารถศึกษานโยบายความเป็นส่วนตัวได้ที่: https://www.aapico.com/privacy-policy-th/ ทั้งนี้ หากนโยบายดังกล่าวขัดหรือแย้งกับกฎหมายไทย ให้ถือปฏิบัติตามกฎหมายไทยเป็นหลัก

The Company collects, uses, and discloses users’ personal data in accordance with the Personal Data Protection Act B.E. 2562 (2019) and the privacy policy of AAPICO Hitech Public Company Limited (the “Privacy Policy”), which applies within the AAPICO Group. The User may access and review the Company’s Privacy Policy at: https://www.aapico.com/privacy-policy-th/. In the event that such policy conflicts or is inconsistent with Thai law, Thai law shall prevail.

การใช้งานบริการบางส่วน เช่น ส่วนที่เป็นฟังก์ชันแผนที่และการนำทาง เป็นต้น บริษัทอาจจำเป็นต้องเข้าถึงและจัดเก็บข้อมูลตำแหน่งที่ตั้งของอุปกรณ์ของผู้ใช้ โดยผู้ใช้สามารถเลือกอนุญาตหรือปฏิเสธการเข้าถึงข้อมูลดังกล่าวผ่านการตั้งค่าของอุปกรณ์ได้ ทั้งนี้ การปฏิเสธอาจทำให้บางฟังก์ชันของบริการไม่สามารถทำงานได้อย่างสมบูรณ์

The use of certain features of the Service such as mapping and navigation functions, may require the Company to access and store Location Data of the User’s device. The User may choose to allow or deny such access through the settings of the User’s device. However, denying such access may result in certain functions of the Service not functioning properly.

6. ข้อจำกัดการใช้งานและพฤติกรรมต้องห้าม (Restrictions and Prohibited Conduct)

ผู้ใช้ตกลงจะไม่กระทำการดังต่อไปนี้ในระหว่างการใช้บริการ:

7. เนื้อหาของผู้ใช้ (User Content)

ในกรณีที่บริการอนุญาตให้ผู้ใช้เพิ่มหมุดสถานที่ รีวิว ความคิดเห็น ภาพถ่าย หรือข้อมูลอื่นใด ผู้ใช้รับรองว่าตนมีสิทธิโดยชอบด้วยกฎหมายในเนื้อหาดังกล่าว และตกลงให้สิทธิแก่บริษัทในการใช้ ทำซ้ำ ดัดแปลง เผยแพร่ และแสดงผลเนื้อหาดังกล่าวภายในบริการเพื่อวัตถุประสงค์ในการให้บริการและปรับปรุงคุณภาพของบริการ

Where the Service allows Users to add location pins, reviews, comments, photographs, or other content, the User represents that they hold lawful rights to such content and grants the Company the right to use, reproduce, modify, publish, and display such content within the Service for the purposes of operating and improving the Service.

บริษัทสงวนสิทธิ์ในการตรวจสอบ ลบ หรือระงับการแสดงผลเนื้อหาของผู้ใช้ที่เห็นว่าไม่เหมาะสมหรือขัดต่อข้อกำหนดฉบับนี้ได้โดยไม่ต้องแจ้งให้ทราบล่วงหน้า และไม่ต้องรับผิดชอบต่อผู้ใช้หรือบุคคลใด ๆ สำหรับการดำเนินการดังกล่าว

The Company reserves the right to review, remove, or suspend the display of any User Content it considers inappropriate or in violation of these Terms, without prior notice and shall not be liable to the User or any third party for taking any such actions.

8. ข้อมูลแผนที่และแหล่งข้อมูลจากบุคคลที่สาม (Map Data and Third-Party Sources)

บริการอาจใช้ข้อมูลแผนที่ ภาพถ่ายดาวเทียม หรือข้อมูลตำแหน่งที่ตั้งจากผู้ให้บริการภายนอก ซึ่งบริษัทพยายามตามสมควรในการคัดสรรแหล่งข้อมูลที่น่าเชื่อถือ อย่างไรก็ตาม บริษัทไม่รับประกันความถูกต้อง ความครบถ้วน หรือความเป็นปัจจุบันของข้อมูลดังกล่าวทุกกรณี เนื่องจากสภาพภูมิประเทศ เส้นทางจราจร หรือสถานที่ต่าง ๆ อาจเปลี่ยนแปลงได้ตลอดเวลา

The Service may use map data, satellite imagery, or Location Data from third-party data providers. While the Company uses reasonable efforts to select reliable sources, the Company does not warrant the accuracy, completeness, or currency of such data in all cases, as terrain, traffic routes, and places may change from time to time.

9. ข้อปฏิเสธความรับผิดชอบ (Disclaimer)

บริการจัดให้ “ตามสภาพที่เป็นอยู่” ผู้ใช้มีหน้าที่ใช้วิจารณญาณและความระมัดระวังตามสมควรในการใช้บริการประกอบการเดินทางหรือการตัดสินใจใด ๆ โดยเฉพาะอย่างยิ่งขณะขับขี่ยานพาหนะ ผู้ใช้ต้องปฏิบัติตามกฎหมายจราจรและกฎระเบียบที่เกี่ยวข้องอย่างเคร่งครัด บริษัทไม่รับประกันไม่ว่าโดยชัดแจ้งหรือโดยปริยายว่าบริการจะปราศจากข้อผิดพลาด ทำงานได้อย่างต่อเนื่องไม่หยุดชะงัก หรือเป็นไปตามวัตถุประสงค์ของผู้ใช้ในทุกกรณี

The Service is provided “As Is”. The User is responsible for exercising reasonable judgment and care when relying on the Service for travel or other decisions, particularly while operating a vehicle. The User must strictly comply with traffic laws and applicable regulations. The Company makes no warranty, express or implied that the Service will be error-free, uninterrupted, or that the route or travel-time information displayed will be accurate or serve the User’s purpose in any and every case.

ข้อมูลแผนที่ ข้อมูลตำแหน่งที่ตั้ง ข้อมูลเส้นทาง สภาพการจราจร ระยะทาง ระยะเวลาเดินทาง และข้อมูลอื่นใดที่แสดงผ่านบริการอาจมีความคลาดเคลื่อน ล่าช้า ไม่ครบถ้วน หรือไม่พร้อมใช้งาน และอาจเปลี่ยนแปลงได้ตลอดเวลา และไม่ถือเป็นคำแนะนำหรือการรับรองความถูกต้องของเส้นทาง สภาพการจราจร สถานที่ หรือความปลอดภัยในการเดินทาง ผู้ใช้รับทราบและตกลงว่าการใช้บริการและการขับขี่ การตัดสินใจ หรือการดำเนินการใด ๆ โดยอาศัยข้อมูลจากบริการเป็นความเสี่ยงและความรับผิดชอบของผู้ใช้แต่เพียงผู้เดียว

Map data, Location Data, route information, traffic conditions, distances, estimated travel times, and other information displayed through the Service may be inaccurate, delayed, incomplete, unavailable, or subject to change at any time. Such information does not constitute advice or a representation or warranty as to the accuracy of any route, traffic conditions, location, or travel safety. The User acknowledges and agrees that any use of the Service and any driving, decision-making, or other action taken in reliance on the Service or such information is at the User’s sole risk and responsibility.

บริษัทไม่รับผิดชอบต่อความเสียหายหรือความสูญเสียใด ๆ ที่เกิดจากหรือเกี่ยวเนื่องกับการใช้บริการหรือการอาศัยข้อมูลที่แสดงผ่านบริการ รวมถึงการตัดสินใจหรือการดำเนินการใด ๆ ของผู้ใช้โดยอาศัยบริการหรือข้อมูลดังกล่าว

The Company shall not be liable for any loss or damage arising out of or in connection with the use of the Service or reliance on any information displayed through the Service, including any decision made or action taken by the User in reliance on the Service or such information.

10. ข้อจำกัดความรับผิด (Limitation of Liability)

ในกรณีที่บริษัทให้บริการโดยไม่มีค่าใช้จ่ายบริษัทจะไม่รับผิดต่อ ความรับผิด ข้อเรียกร้อง ความเสียหาย ความสูญเสีย ความเสียหายหรือความสูญเสียทางการเงิน ค่าใช้จ่าย ค่าธรรมเนียม ภาระ หนี้สิน การเรียกร้องให้ชดใช้ค่าเสียหาย การดำเนินการทางกฎหมาย หรือความรับผิดหรือผลกระทบใด ๆ ที่เกิดจากหรือเกี่ยวเนื่องกับการใช้บริการ ไม่ว่าโดยตรงหรือโดยอ้อม

Where the Company provides the Service free of charge, the Company shall not be liable for any liability, claim, damage, loss, financial loss, cost, expense, fee, charge, obligation, debt, demand for compensation, legal proceeding, or other liability or consequence of any kind arising out of or in connection with the use of the Service, whether directly or indirectly.

ในกรณีที่บริษัทเรียกเก็บค่าบริการจากผู้ใช้ ความรับผิดของบริษัทจะจำกัดไว้เพียงความรับผิดต่อความเสียหายโดยตรงที่เกิดขึ้นจริงและพิสูจน์ได้ ซึ่งเกิดจากหรือเกี่ยวเนื่องโดยตรงกับการให้บริการของบริษัท และความรับผิดรวมสูงสุดของบริษัท ไม่ว่าบนฐานสัญญา ละเมิด หรือฐานความรับผิดอื่นใด จะไม่เกินจำนวนค่าบริการที่ผู้ใช้ได้ชำระหรือมีหน้าที่ต้องชำระสำหรับบริการในช่วงหนึ่ง (1) เดือนก่อนวันที่เกิดเหตุอันเป็นมูลแห่งความรับผิดดังกล่าว

Where the Company charges the User a fee for the Service, the Company’s liability shall be limited to actual and proven direct loss or damage arising directly out of or in connection with the Company’s provision of the Service. The Company’s total aggregate liability, whether arising in contract, tort, or otherwise, shall not exceed the total amount of fees actually paid or payable by the User for the Service during the one (1) month preceding the date on which the event giving rise to such liability occurred.

ทั้งนี้ ไม่ว่าในกรณีใด ๆ บริษัทจะไม่รับผิดต่อความเสียหายอันเกิดจากพฤติการณ์พิเศษ ความเสียหายทางอ้อม ความเสียหายที่เกิดขึ้นโดยบังเอิญ ความเสียหายที่เป็นผลสืบเนื่อง ความเสียหายพิเศษ หรือความเสียหายในเชิงลงโทษ การสูญเสียรายได้ รายรับ กำไร ธุรกิจ โอกาสทางธุรกิจ หรือความเสียหายหรือความสูญเสียในลักษณะเดียวกัน ไม่ว่าความเสียหายดังกล่าวจะเกิดจากการผิดสัญญา ละเมิด หรือฐานความรับผิดอื่นใด แม้บริษัทจะได้รับแจ้งถึงความเป็นไปได้ของความเสียหายดังกล่าวแล้วก็ตาม

In any event, the Company shall not be liable for any loss or damage arising from special circumstances, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of income, revenue, profit, business, business opportunity, or any similar loss or damage, whether arising from breach of contract, tort, or otherwise, even if the Company has been advised of the possibility of such loss or damage.

11. การชดใช้ค่าเสียหาย (Indemnification)

ผู้ใช้ตกลงชดใช้สำหรับความเสียหาย ความสูญเสีย ค่าใช้จ่าย ความรับผิด ข้อเรียกร้อง ความเสียหายหรือความสูญเสียทางการเงิน ค่าใช้จ่าย ค่าธรรมเนียม ภาระ หนี้สิน การดำเนินการทางกฎหมาย หรือความรับผิดหรือผลกระทบใด ๆ อันเกิดจากการกระทำหรือการงดเว้นใด ๆ ของผู้ใช้บริการ หรือเกิดจากการที่ผู้ใช้บริการฝ่าฝืนข้อกำหนดฉบับนี้ หรือฝ่าฝืนกฎหมายที่เกี่ยวข้อง ทั้งนี้ไม่ว่าโดยตรงหรือโดยอ้อม ให้แก่บริษัท กรรมการ พนักงานและตัวแทนของบริษัท

The User agrees to indemnify and hold harmless the Company, its directors, employees, and agents from and against any and all damages, losses, costs, liabilities, claims, financial losses, expenses, fees, charges, obligations, legal proceedings, or liabilities or any other consequences, whether arising directly or indirectly, from any act or omission of the User, or from the User’s breach of these Terms or applicable law.

12. การเปลี่ยนแปลง ระงับหรือยกเลิกการใช้งาน (Suspension and Termination)

บริษัทอาจเพิ่ม ลด ปรับปรุง เปลี่ยนแปลง หรือระงับฟังก์ชันใด ๆ ของบริการ ไม่ว่าทั้งหมดหรือบางส่วน รวมถึงการปรับปรุงหรือเปลี่ยนแปลงระบบ โครงสร้างพื้นฐาน ซอฟต์แวร์ หรือเทคโนโลยีที่เกี่ยวข้อง ตลอดจนการกำหนดหรือปรับเปลี่ยนข้อจำกัดทางเทคนิคในการใช้งานบริการตามความเหมาะสม

The Company reserves the right to add, remove, modify, change, or suspend any function of the Service, in whole or in part, including any modification or change to the systems, infrastructure, software, or related technologies, as well as to impose or modify technical limitations on the use of the Service as appropriate.

บริษัทอาจระงับหรือจำกัดการให้บริการทั้งหมดหรือบางส่วนเป็นการชั่วคราวเพื่อการบำรุงรักษา การปรับปรุงระบบ การแก้ไขข้อขัดข้อง การรักษาความปลอดภัยหรือความมั่นคงของระบบ หรือเพื่อป้องกันหรือแก้ไขความเสียหายที่อาจเกิดขึ้นต่อบริการ

The Company may temporarily suspend or limit the Service, in whole or in part, for maintenance, system upgrades, troubleshooting, security or system integrity purposes, or to prevent or remedy any potential or actual damage to the Service.

บริษัทสงวนสิทธิ์ในการระงับหรือยกเลิกสิทธิการเข้าถึงบริการของผู้ใช้ไม่ว่าทั้งหมดหรือบางส่วน ในกรณีที่บริษัทเห็นว่าผู้ใช้ฝ่าฝืนข้อกำหนดฉบับนี้ หรือมีเหตุอันควรเชื่อได้ว่าการใช้งานของผู้ใช้ก่อให้เกิดความเสียหายต่อบริษัทหรือบุคคลอื่น ในกรณีที่บริษัทเห็นว่ามีความจำเป็นเพื่อป้องกันหรือแก้ไขความเสียหาย รักษาความปลอดภัยหรือความมั่นคงของบริการ หรือปฏิบัติตามกฎหมายหรือคำสั่งของหน่วยงานที่มีอำนาจ และผู้ใช้สามารถยกเลิกการใช้งานบริการ และ/หรือลบบัญชีของตนได้ตลอดเวลาผ่านช่องทางที่บริษัทกำหนด

The Company reserves the right to suspend or terminate the User’s access to the Service, in whole or in part, where the Company determines that the User has breached these Terms or that the User’s use of the Service is likely to cause damage to the Company or others or where the Company considers such action necessary to prevent or remedy any damage, maintain the security or integrity of the Service, or comply with applicable law or an order of any competent authority. The User may discontinue use of the Service and/or delete their account at any time through the channels designated by the Company.

13. การเปลี่ยนแปลงข้อกำหนด (Amendments to these Terms)

บริษัทสงวนสิทธิ์ในการแก้ไข ปรับปรุง หรือเปลี่ยนแปลงข้อกำหนดฉบับนี้ได้ตามความเหมาะสม โดยจะแจ้งให้ผู้ใช้ทราบผ่านบริการหรือช่องทางอื่น ตามที่บริษัทเห็นสมควรก่อนที่การเปลี่ยนแปลงจะมีผลใช้บังคับ การที่ผู้ใช้ยังคงใช้บริการต่อไปภายหลังการเปลี่ยนแปลงมีผลใช้บังคับ ถือว่าผู้ใช้ยอมรับข้อกำหนดที่แก้ไขเพิ่มเติมนั้นแล้ว

The Company reserves the right to amend, update, or otherwise change these Terms as it deems appropriate, and will notify Users through the Service or other appropriate channels prior to such changes taking effect. Continued use of the Service after any amendment takes effect constitutes the User’s acceptance of the amended Terms.

14. กฎหมายที่ใช้บังคับและการระงับข้อพิพาท (Governing Law and Dispute Resolution)

ข้อกำหนดฉบับนี้อยู่ภายใต้บังคับและให้ตีความและบังคับใช้ตามกฎหมายของประเทศไทย ในกรณีที่เกิดข้อพิพาทใด ๆ อันเกี่ยวเนื่องกับหรือเกิดขึ้นจากข้อกำหนดฉบับนี้ คู่กรณีจะต้องพยายามยุติข้อพิพาทดังกล่าวโดยการเจรจาโดยสุจริต ภายใน 30 (สามสิบ) วันนับแต่วันที่เกิดข้อพิพาทดังกล่าวโดยการเจรจาภายใน 30 (สามสิบ) วันนับแต่วันที่เกิดข้อพิพาท หากไม่สามารถยุติข้อพิพาทดังกล่าวได้ภายในระยะเวลาดังกล่าว ข้อพิพาทนั้นจะต้องได้รับการตัดสินโดยอนุญาโตตุลาการตามกฎเกณฑ์ของสถาบันอนุญาโตตุลาการแห่งประเทศไทย สำนักงานศาลยุติธรรม (“TAI”) โดยการอนุญาโตตุลาการจะดำเนินการเป็นภาษาอังกฤษและมีสถานที่ดำเนินการอนุญาโตตุลาการในประเทศไทย ทั้งนี้ การดำเนินกระบวนการอนุญาโตตุลาการให้เป็นไปตามกฎเกณฑ์ของ TAI และคำชี้ขาดของอนุญาโตตุลาการให้ถือเป็นที่สุดและมีผลผูกพันคู่กรณี

These Terms of Use shall be governed by and construed and enforced in accordance with the laws of Thailand. In the event of any dispute arising out of or in connection with these Terms of Use, the Parties shall first attempt to resolve such dispute through good-faith negotiations within thirty (30) days from the date on which the dispute arises. If the dispute cannot be resolved through negotiation within such period, such dispute shall be finally settled by arbitration in accordance with the rules of the Thai Arbitration Institute, Office of the Judiciary (“TAI”). The arbitration shall be conducted in English and shall take place in Thailand in accordance with the rules of the TAI. The arbitral award shall be final and binding upon the Parties.

16. การโอนสิทธิและหน้าที่ (Assignment)

บริษัทมีสิทธิโอน มอบหมาย หรือโอนสิทธิและหน้าที่ตามข้อกำหนดฉบับนี้ ไม่ว่าทั้งหมดหรือบางส่วนให้แก่บริษัทในเครือ ผู้รับโอนกิจการ หรือบุคคลอื่นที่รับโอนสิทธิในบริการ โดยไม่ต้องได้รับความยินยอมจากผู้ใช้และไม่ต้องแจ้งให้ผู้ใช้ทราบล่วงหน้า ผู้ใช้ไม่มีสิทธิโอน มอบหมาย หรือโอนสิทธิหรือหน้าที่ใด ๆ ของตนตามข้อกำหนดฉบับนี้ ไม่ว่าทั้งหมดหรือบางส่วนให้แก่บุคคลอื่น เว้นแต่จะได้รับความยินยอมล่วงหน้าเป็นหนังสือจากบริษัท

The Company may assign, transfer, or delegate, in whole or in part, any of its rights and obligations under these Terms to any of its affiliates, successors, or any other person acquiring the rights to the Service, without the User’s consent or prior notice to the User. The User shall not assign, transfer, or delegate any of their rights or obligations under these Terms, in whole or in part, to any other person without the Company’s prior written consent.

17. เหตุสุดวิสัย (Force Majeure)

บริษัทจะไม่รับผิดและไม่ถือว่าผิดข้อกำหนดฉบับนี้สำหรับความล่าช้า การหยุดชะงัก หรือการไม่สามารถให้บริการได้ ไม่ว่าทั้งหมดหรือบางส่วน หากมีสาเหตุมาจากเหตุสุดวิสัยหรือเหตุการณ์ใด ๆ ที่อยู่นอกเหนือการควบคุมตามสมควรของบริษัท และบริษัทไม่สามารถป้องกันหรือหลีกเลี่ยงได้โดยใช้ความระมัดระวังตามสมควร รวมถึงแต่ไม่จำกัดเพียง ภัยธรรมชาติ ภัยพิบัติ โรคระบาด อัคคีภัย อุทกภัย แผ่นดินไหว สงคราม การก่อการร้าย การจลาจล ความไม่สงบทางการเมือง การนัดหยุดงานหรือข้อพิพาทด้านแรงงาน การกระทำหรือคำสั่งของรัฐบาลหรือหน่วยงานของรัฐ การเปลี่ยนแปลงหรือข้อจำกัดตามกฎหมาย ความขัดข้องของระบบสื่อสาร ระบบไฟฟ้า อินเทอร์เน็ต เซิร์ฟเวอร์ หรือเครือข่าย ตลอดจนความขัดข้องหรือการไม่สามารถให้บริการของผู้ให้บริการภายนอกหรือผู้ให้บริการโครงสร้างพื้นฐานที่บริษัทไม่สามารถควบคุมได้

The Company shall not be liable for, and shall not be considered to be in breach of these Terms due to, any delay, interruption, or failure to provide the Service, in whole or in part, to the extent caused by any force majeure event or other event beyond the Company’s reasonable control which the Company could not reasonably prevent or avoid, including, without limitation, natural disasters, epidemics, pandemics, fire, flood, earthquake, war, terrorism, riots, civil unrest, strikes or other labor disputes, acts or orders of any government or governmental authority, changes in or restrictions imposed by applicable laws, failures of telecommunications systems, electricity supply, the Internet, servers or networks, or any failure or unavailability of third-party service providers or infrastructure providers beyond the Company’s reasonable control.

18. ภาษาที่ใช้บังคับและการตีความ (Governing Language and Interpretation)

ข้อกำหนดฉบับนี้จัดทำขึ้นเป็นภาษาไทยและภาษาอังกฤษ โดยในกรณีที่มีข้อความ ความหมาย หรือการตีความใด ๆ แตกต่างหรือไม่สอดคล้องกันระหว่างฉบับภาษาไทยและภาษาอังกฤษ ให้ ฉบับภาษาไทยมีผลใช้บังคับและให้ถือเป็นหลักในการตีความ

These Terms are prepared in both Thai and English. In the event of any discrepancy, inconsistency, or difference in meaning or interpretation between the Thai and English versions, the Thai version shall prevail and shall govern the interpretation of these Terms.

19. ระยะเวลาการใช้บังคับและการสิ้นสุด (Term and Termination)

ข้อกำหนดฉบับนี้มีผลใช้บังคับตั้งแต่วันที่ผู้ใช้เริ่มใช้งานบริการ และจะมีผลใช้บังคับต่อไปจนกว่าผู้ใช้จะยกเลิกการใช้บริการ หรือลบบัญชีผู้ใช้ หรือจนกว่าบริษัทจะยกเลิก หรือระงับการให้บริการหรือสิทธิการเข้าถึงบริการของผู้ใช้ตามข้อกำหนดฉบับนี้

These Terms shall take effect from the date the User first accesses or uses the Service and shall remain in effect until the User discontinues use of the Service or deletes their account, or until the Company terminates or suspends the Service or the User’s access to the Service in accordance with these Terms.

20. การแยกส่วนของข้อกำหนด (Severability)

หากข้อกำหนด ข้อความ หรือส่วนหนึ่งส่วนใดของข้อกำหนดฉบับนี้ตกเป็นโมฆะ ไม่ชอบด้วยกฎหมาย หรือไม่สามารถบังคับใช้ได้ไม่ว่าด้วยเหตุใด ให้ข้อกำหนด ข้อความ หรือส่วนอื่น ๆ ของข้อกำหนดฉบับนี้ยังคงมีผลใช้บังคับต่อไปโดยสมบูรณ์ ทั้งนี้ ภายใต้ขอบเขตที่กฎหมายอนุญาต

If any provision or part of these Terms is or becomes invalid, unlawful, or unenforceable for any reason, the remaining provisions and parts of these Terms shall remain in full force and effect to the maximum extent permitted by applicable law.

21. การยอมรับข้อกำหนด (Acceptance of Terms)

การเข้าถึง ดาวน์โหลด ติดตั้ง เปิดใช้งาน หรือใช้งานบริการ ไม่ว่าทั้งหมดหรือบางส่วน รวมถึงการกดปุ่ม “ยอมรับ” (“Accept”) “ตกลง” (“Agree”) หรือปุ่มอื่นใดในลักษณะเดียวกัน หรือการแสดงการยอมรับข้อกำหนดผ่านช่องทางอิเล็กทรอนิกส์อื่นใด ให้ถือว่าผู้ใช้ได้อ่าน เข้าใจ และตกลงยอมรับข้อกำหนดฉบับนี้โดยสมบูรณ์ และตกลงที่จะปฏิบัติตามข้อกำหนดฉบับนี้

By accessing, downloading, installing, activating, or using the Service, in whole or in part, including by clicking “Accept”, “Agree”, or any other button or mechanism indicating acceptance, or by otherwise indicating acceptance of these Terms through any electronic means, the User shall be deemed to have read, understood, and fully accepted these Terms and agreed to comply with them.

หากผู้ใช้ไม่ประสงค์ที่จะยอมรับข้อกำหนดฉบับนี้ ผู้ใช้ต้องไม่เข้าถึง ดาวน์โหลด ติดตั้ง หรือใช้งานบริการ และต้องยุติการใช้งานบริการโดยทันที

If the User does not agree to these Terms, the User must not access, download, install, activate, or use the Service and must immediately cease using the Service.
